IN SHORT:
-
SK hynix has acquired Intel's SSD business and the assets of the Dalian NAND Flash Manufacturing Facility in China.
-
The new entity will be called "Solidigm."
-
With the synergy of its combined business portfolio, SK hynix aims to become a global first-tier technology company.
SK hynix Inc. announced at the end of December the completion of the first phase of its acquisition of Intel's NAND memory and solid-state drive (SSD) business and manufacturing facility Dalian NAND flash in China. This came after receiving approval for the merger from the State Administration of Market Regulation in China - SK hynix agreed to pay $7 billion for the move.
In the second phase of the deal, SK hynix will acquire the remaining assets related to its NAND business from Intel, including intellectual property related to the production and design of NAND flash memory. The company will also acquire some of the research and development staff, employees of the Dalian plant and other related tangible and intangible assets. Closing of the second phase is expected to take place from March 2025, with a remaining payment of $2 billion, completing the entire transaction.
"I warmly welcome the Solidigm team members who are joining our family. This acquisition will be a paradigm-shifting moment for SK hynix, bringing its NAND flash memory business to the highest global level. With this acquisition, SK hynix will be one step further on its path to becoming a global first-tier technology company."
Solidigm will manage SSD business
The newly-acquired SSD business will be managed by the newly-formed Solidigm, which will be headquartered in San Jose, California. The company will manufacture and sell the solutions acquired by SK hynix. Once the deal is finalized, its executive chairman will become Lee Seok-hee (current president and general manager). Rob Crooke, former Senior VP of Intel, will take the place of Solidigm's CEO.
"Solidigm is poised to become the world's next great semiconductor company, creating an unprecedented opportunity to reinvent the data memory and storage industry. We are steadfast in our commitment to lead the data industry in a way that can truly drive human development."
